Terms of Service

01 — AGREEMENTAcceptance of Terms

Welcome to Stayker™ (the "Platform"), owned and operated by WPF Holdings, LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Company's website at stayker.com, booking portals, APIs, AI-powered integrations including the 1Stay MCP server, and all related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. The Company reserves the right to update these Terms at any time by posting changes to this page. Your continued use of the Platform constitutes acceptance of the updated Terms.

02 — BOOKINGBooking & Lodging Provider Terms

The Platform facilitates hotel reservation requests with independent third-party lodging providers. The Company is not a hotel operator, travel supplier, or accommodation provider, and does not own, control, or manage the lodging properties displayed on the Platform. Stayker operates as the agency of record for reservations processed through the Travelport Global Distribution System (GDS).

Any lodging reservation creates a contractual relationship between you and the selected lodging provider. Rates, availability, descriptions, images, amenities, and policies are supplied by third-party systems and lodging providers. While such information is generally believed to be accurate when displayed, the Company does not warrant or guarantee the accuracy, completeness, or current validity of any rates, room availability, property descriptions, amenities, or related information. Such information may change without notice.

Upon completing a reservation on the Platform, a confirmation is generated based on information from the lodging provider's reservation system via the GDS. A confirmation indicates that the booking request was accepted by the supplier's system at the time of processing and does not guarantee that the lodging provider will honor the reservation. Lodging providers remain solely responsible for fulfilling confirmed reservations.

In rare instances, a lodging provider may fail to honor a reservation due to circumstances including but not limited to overbooking, operational constraints, property closures, maintenance issues, or other circumstances beyond the Company's control. The Company shall not be liable for a lodging provider's failure to honor a reservation. Any relocation, compensation, refund, or remedy related to such events is the sole responsibility of the lodging provider.

All room charges, taxes, fees, and incidental charges are payable directly to the lodging provider or processed through the Platform's payment system. The Company may charge a separate booking service fee. Booking service fees are independent of lodging charges and are non-refundable except where required by law.

The Company reserves the right to cancel or correct reservations affected by pricing errors, typographical mistakes, transmission failures, system malfunctions, or supplier data inaccuracies. In such cases, your sole remedy shall be a refund of any booking service fees paid to the Company.

03 — SMSText Messaging (SMS) Communications

3.1 Scope

As part of the reservation process, the Company may send text (SMS) messages to the mobile phone number you provide. Text messages are limited to communications directly related to hotel reservations facilitated through the Platform, including booking payment links, reservation confirmations, modification notices, cancellation confirmations, check-in reminders, and stay-related service information during an active reservation.

3.2 Consent

By providing your mobile phone number during the reservation process and completing a booking through the Platform, you consent to receive the text messages described in Section 3.1. Your consent is specific to reservation-related communications from Stayker and does not constitute consent to receive marketing, promotional, or advertising messages. Consent to receive text messages is not a condition of purchasing any service; however, certain booking workflows may use SMS as the primary delivery method for secure payment links.

3.3 Message Frequency & Charges

Message frequency varies and depends on your booking activity. Typical message volume is 2–5 messages per reservation. Standard message and data rates charged by your mobile carrier may apply. The Company does not impose any charge for text messages sent to you.

3.4 Opting Out

You may revoke your consent to receive text messages at any time by replying STOP (or STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT) to any text message sent by the Company. Upon receipt of your opt-out request, you will receive a single confirmation message and no further text messages will be sent to your number. Opting out of text messages does not cancel, modify, or otherwise affect any existing reservation. All essential reservation communications will also be sent to the email address associated with your reservation.

3.5 Accuracy of Phone Number

You are responsible for providing a valid mobile phone number capable of receiving SMS messages. If you provide an incorrect or inactive phone number, the Company is not responsible for undelivered messages, including payment links. If a payment link is not received via text message, you may request delivery via email by contacting service@stayker.com.

3.6 No Warranty of Delivery

Text message delivery depends on your mobile carrier, network conditions, and device capabilities. The Company does not guarantee the delivery or timing of any text message. In the event that a text message is not delivered, the Company will make reasonable efforts to deliver reservation-related communications via email.

3.7 Third-Party Service Provider

The Company uses Twilio, Inc. as its third-party text messaging service provider. By consenting to receive text messages, you acknowledge that your mobile phone number will be shared with Twilio for the sole purpose of message delivery. Twilio's terms of service and privacy policy are available at twilio.com/legal.

04 — AI INTEGRATIONSAI-Powered Booking Integrations

Reservations made through AI-powered booking integrations, including but not limited to the 1Stay MCP server available on third-party AI platforms (such as Claude by Anthropic, ChatGPT by OpenAI, or Gemini by Google), are subject to these Terms. When you provide your personal information during an AI-assisted booking conversation, the same consent, opt-out, messaging, and liability terms described in these Terms apply.

The Company is responsible for the booking services it provides and the text messages it sends. The Company is not responsible for the content, accuracy, availability, or performance of third-party AI platforms through which reservations may be initiated. Your use of third-party AI platforms is governed by those platforms' own terms of service.

When using AI-powered booking integrations, the Company receives only the structured booking data submitted through the booking tool (name, email, phone number, travel dates, hotel preferences, and similar reservation details). The Company does not receive or store the full text of your AI conversation.

05 — LOYALTYLoyalty Programs & Reward Points

Reservations made through the Platform are eligible for hotel loyalty program points and benefits. When you provide a loyalty program membership number, the Company includes it with your reservation so the hotel can credit your account. The Company does not guarantee the accrual of loyalty points — point eligibility is determined by each hotel's loyalty program terms. The Company is not responsible for loyalty program disputes, point adjustments, or benefit denials.

06 — PAYMENTPayment & Fees

The Company may use secure payment links delivered via SMS and email to collect payment for hotel reservations. All payment processing is handled through PCI-compliant third-party payment processors. The Company does not store credit card numbers, CVVs, or other sensitive payment credentials on its servers.

Payment links have an expiration period stated at the time of booking. If a payment link expires before payment is completed, the reservation hold may be released and the room may no longer be available at the quoted rate.

The Company may charge a booking service fee in addition to the hotel room rate and applicable taxes. Booking service fees will be disclosed prior to payment completion. Booking service fees are non-refundable except where required by law.

07 — CANCELLATIONSCancellations & Modifications

Cancellation and modification policies vary by hotel and rate plan. The applicable cancellation policy for your reservation is displayed at the time of booking and included in your confirmation. The Company facilitates cancellations and modifications on your behalf but does not set cancellation policies — those are determined by the lodging provider.

If you cancel a reservation, you will receive a cancellation confirmation via email and SMS (if you have not opted out of text messages). Any refund of hotel room charges is subject to the lodging provider's cancellation policy. Booking service fees charged by the Company are non-refundable except where required by law.

08 — USAGEUsage Terms

8.1 Eligibility

To use the Platform, you must be at least eighteen (18) years of age, be fully able and competent to enter into and abide by these Terms, and be able to comply with these Terms.

8.2 Permitted Use

The Platform is offered on a non-exclusive basis for your personal or business use in connection with hotel reservations. You may access the Platform solely for its intended purpose through the normal functionality provided.

8.3 Prohibited Use

You may not use the Platform for any illegal or unauthorized purpose. You may not access the Platform through automated means (including bots, scrapers, or scripts) unless you have been specifically authorized through a separate API agreement. You may not attempt to interfere with the Platform's operation, security, or availability. You agree to comply with all applicable laws regarding the transmission of technical data from the country in which you reside.

09 — IPIntellectual Property

The Company owns and retains all right, title, and interest in the Platform and all related technology, materials, data, tools, visual design, programming, and intellectual property, including but not limited to the Stayker™ name, logo, 1Stay brand, and all trademarks, service marks, and trade dress. These Terms do not transfer any ownership rights to you.

Content on the Platform is provided for your information and personal use only and may not be copied, reproduced, distributed, transmitted, displayed, publicly performed, sold, licensed, or otherwise exploited without the prior written consent of the Company.

10 — ACCOUNTSUser Accounts

In order to access certain features of the Platform, you may need to create a user account. Use of another person's account is not permitted. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs in your account and for maintaining the security of your account password. You agree to notify the Company immediately of any breach of security or unauthorized use of your account.

11 — APIAPI & Developer Terms

Access to the Stayker API and 1Stay MCP server by third-party developers is governed by a separate API agreement and the MCP Data Processing Terms. Developers using the API or MCP server are responsible for complying with all applicable laws, these Terms, and any additional terms provided in the API documentation. The Company reserves the right to suspend or terminate API access at any time for violation of these Terms or abuse of the Platform.

12 — LIABILITYLimitation of Liability

The Platform may include content and information provided by third parties, including hotel properties and distribution systems. You acknowledge and agree that the Company is not responsible for such third-party content.

To the maximum extent permitted by law, the Company's total aggregate liability arising out of or relating to your use of the Platform or any reservation facilitated through the Platform shall not exceed the total booking service fees paid by you to the Company in the twelve (12) months preceding the claim.

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from your use of the Platform or any reservation made through the Platform.

13 — WARRANTYDisclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. The Company makes no warranties, express or implied, regarding the Platform, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

14 — PRIVACYPrivacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including our SMS messaging practices. By using the Platform, you consent to the practices described in our Privacy Policy.

15 — DMCACopyright Policy

The Company complies with the Digital Millennium Copyright Act and other applicable intellectual property laws. The designated agent for receipt of copyright infringement notifications is:

16 — GOVERNING LAWGoverning Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to conflict of law principles.

17 — GENERALMiscellaneous

These Terms constitute the entire agreement between you and the Company regarding use of the Platform. If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The Company's failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
