Important: This Agreement contains a binding arbitration clause and a waiver of your right to participate in class-action lawsuits. Please see the Dispute Resolution section below.

Introduction and Acceptance of Terms

Welcome to Stayker, a travel software-as-a-service platform provided by WPF Holdings LLC (d/b/a “Stayker”). These Terms of Service (“Terms”) govern your access to and use of Stayker’s websites, services, and applications – including the Snap by Stayker tool (“Snap”) – which collectively enable users to create branded hotel booking portals and manage travel-related content (the “Services”). By accessing or using the Services (including browsing Stayker’s website or launching a portal via Snap), you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must refrain from using the Services.

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. If you are using the Services on behalf of an organization or entity (e.g. as an event organizer or business), you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity as well as any individual using the Services on its behalf. Stayker reserves the right to update or modify these Terms at any time by posting the revised Terms on our website (with a new effective date). We encourage you to review these Terms periodically for changes. Your continued use of the Services after any modifications constitutes acceptance of the updated Terms. If you object to any changes, your sole remedy is to stop using the Services.
 

Definitions

For clarity, certain terms used in this Agreement are defined as follows:

  • “Stayker” (also “Company,” “we,” “us,” or “our”) refers to WPF Holdings LLC d/b/a Stayker, a company based in North Carolina, USA, and the provider of the Services.

  • “Snap” refers to the Snap by Stayker platform – a feature of the Services that allows users to quickly create a fully branded hotel booking portal (typically in minutes) and share booking links. Snap is an integral part of the Stayker Services.

  • “User” (also “you” or “your”) means any individual or entity who accesses or uses the Services. This includes Clients who use Stayker to create and manage white-label booking portals (such as event organizers, businesses, or other organizations), as well as End Users who use a Stayker-powered portal or site to search for or book hotel accommodations.

  • “Travel Products” refers to travel services and products that may be accessed through the Stayker platform – for example, hotel accommodations, room bookings, or other lodging services.

  • “Travel Providers” refers to the third-party providers of Travel Products. This can include hotels, hotel chains, lodging providers, and online travel agencies or fulfillment partners that supply room inventory, rates, and booking fulfillment services available through Stayker.

  • “Booking Portal” or “Portal” refers to a custom hotel booking website or page created by a Client via Stayker’s Services (including those created using Snap), typically branded with the Client’s identity, that offers Travel Products to End Users.

  • “Actualized Booking” (or “Completed Booking”) means a hotel booking made through the Services where the guest has completed their stay (i.e. the check-in and check-out have occurred). Only actualized/completed bookings (as opposed to those canceled or not attended by the guest) generate commission-based rebates under Stayker’s programs.

  • “Rebate” (also “Commission Rebate” or “Cash Back”) refers to the portion of commission or revenue that Stayker may share or pay out to an eligible User (typically a Client who owns a Portal) based on Actualized Bookings made through that User’s Portal. The terms for earning and receiving Rebates are set forth in these Terms.

  • “Minimum Payout Threshold” is the minimum amount of accrued Rebates that must be reached before Stayker will issue a payout. As of the Effective Date, the threshold is $25.00 USD per month (see Commission Rebates and Payouts section).

  • “Our Site” or “Platform” refers to Stayker’s website (including any subdomains like snap.stayker.com) and any mobile or web applications, dashboards, or interfaces provided by Stayker through which the Services are accessed.

  • “Content” means any text, images, data, information, or other material provided or made available through the Services. This includes, for example, hotel descriptions, rates, availability data, logos/branding provided by Clients for their Portals, and any user-generated content.

 

Description of Services

Stayker’s SaaS Platform: Stayker provides a cloud-based platform that brings live hotel inventory and rates online under your own brand. The platform is designed to let organizations (such as event coordinators, sports tournaments, venues, universities, businesses, etc.) quickly deploy a hotel booking solution without traditional contracts or complex integrations. With Stayker, you can hand-pick partner hotels or allow broad inventory access, and then offer real-time hotel bookings through a branded portal on your website or via shared links. Stayker’s proprietary technology connects to global distribution systems (GDS) and other travel supplier databases to aggregate over hundreds of thousands of hotel options worldwide in real time.

Snap by Stayker: Snap is a key feature that enables you to create a fully functional hotel booking site in as little as 2–5 minutes. Using Snap, a Client can specify an event location or destination, select preferred hotels (or use default available inventory), and instantly generate a unique booking portal URL. This portal can be shared on the Client’s website, social media, or via email to serve customers or event attendees. Snap automates the setup of the hotel search interface and booking engine under your brand, eliminating the need for lengthy RFP processes, room-block contracts, or custom software development. In short, Snap gives you the power to “offer a hotel booking experience under your own brand” with minimal time and effort.

How Booking Works: End Users (travelers) using a Stayker-powered portal search for hotels in their desired location and dates, view available rates, and make bookings directly through the portal. The actual booking transaction is facilitated by Stayker’s platform via third-party Travel Providers. In many cases, Stayker’s interface will handle the search and display of hotel options, and when the user proceeds to book, the reservation details are passed to the appropriate Travel Provider (such as an integrated online travel agency or the hotel’s booking system) for processing. No downloads are required for the end user; booking is completed online through the provided interface. The End User receives a booking confirmation (typically via email) and the reservation is recorded. After the event or stay is completed, the organizing Client may receive a commission rebate (as detailed later) based on that booking.

No Long-Term Contracts: Stayker’s Services are generally offered without long-term commitments or contracts for the Client. You can use the platform for one-time events or ongoing needs. There are also no “attrition fees” or required room block commitments – because bookings are made on live inventory, there are no penalties for not filling a quota of rooms. Similarly, traditional cut-off dates for room blocks (after which unsold rooms are released) do not apply, since the platform always shows current availability up until the travel dates. This gives your users access to available hotel options at any time and reduces liability for event organizers.

Updates and New Features: Stayker is continually improving its platform. New features, tools, or services may be added (for example, additional analytics, integrations, or future products offering user-linked rebates beyond hotel bookings). Unless otherwise stated, any new features that enhance or modify the current Services are subject to these Terms. We will endeavor to inform you of major changes or new offerings. We also reserve the right to discontinue or suspend certain features or parts of the Services (in whole or in part) with or without notice, as needed for updates, maintenance, or business reasons.

Account Registration and Security

Certain aspects of the Services (especially creating and managing a booking portal via Stayker or Snap) require you to register for an account. When registering, you agree to provide accurate, current, and complete information about yourself (or your organization, if applicable) as prompted, and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials (login and password) and for all activities that occur under your account. You should use a strong password and limit access to your account. You agree to notify us immediately at service@stayker.com if you suspect any unauthorized access to or use of your account. Stayker is not liable for any loss or damage arising from your failure to adequately safeguard your account.

If you are an organizational Client, you may be provided with an administrative account to manage your Portal settings, content, and view bookings. You are responsible for managing the access of your team members or administrators to this account. Ensure that only authorized persons have access, and that they also abide by these Terms.

We reserve the right to suspend or terminate any account that we suspect is involved in fraudulent activity, violates these Terms, or is otherwise misused (see Termination below). You are responsible for all usage of the Services through your account, whether or not authorized by you, until you close the account or prove that the account security was compromised due to no fault of your own.

Acceptable Use and Conduct

By using Stayker, you agree to use the Services only for their intended purpose and in a lawful, respectful manner. You must not abuse the platform or engage in activities that harm us or others. In particular, you agree that you will NOT:

  • Violate Laws or Rights: Use the Services for any unlawful purpose, or in any way that violates applicable local, state, national, or international laws or regulations. This includes all U.S. export control laws and data privacy laws. You also agree not to infringe the rights of any third party (including intellectual property rights and privacy rights) in your use of the platform.

  • Interfere with the Platform: Use the Services in any manner that could disable, overburden, damage, or impair the platform’s functioning, or interfere with any other party’s use and enjoyment of the Services. You will not attempt to circumvent any security or access controls of the platform.

  • Automated Access: Use any robot, scraper, crawler, script, or other automated means to access, query, or index the Services or any content contained therein without our express prior written permission. The platform is provided for interactive use by human users via normal web or mobile interfaces. You agree not to run any automated scripts or software to extract data or perform bulk actions on the platform, except as explicitly allowed via an API or integration provided by Stayker (and then only in accordance with that API’s terms).

  • Misuse Content: Copy, reproduce, republish, upload, post, or transmit any portion of the Content or Services in violation of these Terms. For example, you may not scrape hotel rate data or use our listings for a competing service. You also may not use the Stayker platform to display content that is obscene, defamatory, abusive, harassing, or otherwise objectionable (including for any unlawful harassment, hate speech or discrimination).

  • Misrepresent or Commit Fraud: You agree not to impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity in connection with your use of Stayker. If you are a Client creating a Portal, you must honestly represent your organization or event; do not mislead travelers about the nature of your Portal. Any attempt to game the rebate system or commit fraud (for example, making fake bookings or encouraging cancellations just to earn commissions) is strictly prohibited. Such fraudulent behavior can result in immediate termination of your account and forfeiture of any pending Rebates or payouts.

  • Upload Harmful Material: You must not introduce to our platform any viruses, malware, Trojan horses, or other harmful or malicious code. Similarly, you should not attempt to probe, scan, or test the vulnerability of our system or network, or breach any security or authentication measures.

Violation of any of the above may result in immediate termination of your account or access to the Services, without notice, and may subject you to legal consequences. Stayker reserves the right to investigate any misuse of the Services and to cooperate with law enforcement in prosecuting users involved in unlawful activities.

Stayker is Not a Seller of Travel (Third-Party Travel Services)

Intermediary Platform: Stayker acts as a technology intermediary and hotel booking search engine/portal, connecting Users with third-party Travel Providers, but Stayker does not itself provide, own, or control the travel services being offered. Any hotel rooms or travel accommodations booked through the Stayker platform (“Travel Products”) are provided by independent Travel Providers (for example, a hotel property or an online travel agency that facilitates the reservation). Stayker is not a “seller of travel” or travel agency in this transaction, and is not responsible for making or fulfilling the actual reservations; it provides the platform through which Travel Providers offer their services. Because of this role, Stayker is not required to register as a seller of travel in any jurisdiction, and any consumer protection laws applicable to sellers of travel may not apply to us.

Third-Party Responsibility: The Travel Providers are solely responsible for the Travel Products they offer – including their availability, pricing, terms of sale, descriptions, and the fulfillment of your bookings (i.e., providing you the lodging or services you booked). When you make a booking through Stayker’s platform, you will be entering into a separate agreement with the relevant Travel Provider (for example, a lodging agreement with the hotel, or a booking contract with the travel agency facilitating the booking). The Travel Provider’s own terms and conditions and privacy policy will apply to your booking, in addition to any booking rules (such as cancellation policies, minimum stay requirements, guest conduct rules, etc.) that the provider imposes. You are responsible for reading and understanding those third-party terms before completing a reservation. If you do not agree with a hotel’s or provider’s terms, do not book with them.

No Agency: Nothing in these Terms or in your use of the Services creates an agency, partnership, or joint venture relationship between you and Stayker, or between Stayker and any Travel Provider. Stayker is not acting as an agent for you as a traveler, nor as an agent for Travel Providers. We simply facilitate the connection and transaction. Likewise, Clients who use Stayker to create portals are not employees or agents of Stayker, and they are not authorized to make representations or enter into contracts on behalf of Stayker. Clients are independent parties using the platform.

No Endorsement: Any display of a hotel or Travel Provider on the Stayker platform (such as listing a hotel in search results or featuring it on a Portal) does not constitute an endorsement, recommendation, or warranty by Stayker regarding that provider or its services. The order or availability of search results may be influenced by various factors (such as price, distance, partnerships, or user preferences), but is not a personal recommendation. Stayker does not sponsor or approve Travel Providers, nor do Travel Providers sponsor or approve of Stayker, unless explicitly stated. All logos or trademarks of Travel Providers belong to their respective owners and are used on our Platform for identification purposes only.

User’s Risk & Responsibility: You acknowledge that any interaction you have with Travel Providers or any transactions you make for Travel Products via Stayker’s Services are at your own risk. Because Stayker is not involved in providing the actual travel service, we cannot be held responsible if something goes wrong with your booking or your stay. For example, Stayker is not liable if a hotel overbooks and cannot honor your reservation, if a Travel Provider fails to issue a confirmation, or if there are issues during your stay (such as hotel facility problems, cleanliness, safety, or service quality issues). Any such problems are the responsibility of the Travel Provider, and any recourse or remedy must be sought against the Travel Provider under their terms and policies. (We will, of course, try to assist you in contacting the provider or resolving issues as described in the Booking Process and Fulfillment section, but we do not assume liability for the provider’s actions or omissions.)

Travel Content, Pricing, and Availability

Third-Party Content: The information about hotels and other Travel Products displayed through Stayker (such as hotel names, descriptions, amenities, images, location, guest reviews, room rates, availability, and other details) is provided by the Travel Providers or obtained from third-party sources. While Stayker strives to present accurate and up-to-date information, we do not guarantee the accuracy, completeness, or timeliness of such content. For instance, hotel descriptions or star ratings might not reflect the latest renovations or changes, and availability or pricing information could become outdated if the provider doesn’t promptly update it. Stayker does not independently verify all content uploaded by Travel Providers. By using the platform, you understand that actual conditions at a hotel may differ from the descriptions or photos, and inclusion of any content on our site is not a guarantee that the Travel Product will be as described.

If you notice any erroneous or misleading information in the hotel content on your Portal, you can contact Stayker support and we will work to correct or update the information as feasible. However, because the content is largely third-party driven, you should confirm critical details directly with the Travel Provider (for example, pet policies, parking availability, or specific amenity availability) if such details will affect your travel decision.

Dynamic Pricing: Prices for hotel rooms are highly dynamic and subject to change at any time. The rates you see on Stayker’s platform are sourced in real time from Travel Providers. Stayker cannot guarantee that a price displayed at a given moment will remain available even a short time later. Prices may change due to demand, adjustments by the provider, or technical reasons. Additional fees and taxes may apply on top of the listed base rate (for example, resort fees, service charges, local taxes, or payment processing fees). We strive to disclose known fees during the booking process, but some charges (such as certain local taxes or fees payable at the hotel) may only be known by or communicated by the Travel Provider at confirmation or check-in. All currency displays are for informational purposes; if you are booking in a currency different from the provider’s default, the final charge may vary due to exchange rates or credit card currency conversion fees. Always review the final price breakdown on the booking page (which should include taxes and fees) before confirming your reservation, and be aware that your payment provider might apply its own exchange rate if currency conversion is involved.

Availability and Inventory: Similarly, the availability of rooms and inventory shown is subject to change. Stayker does not guarantee that every room shown as available will still be available at the time of booking. It is possible (though uncommon) that by the time you complete the booking steps, the last available room was taken by another user or the provider updated its inventory. In such cases, you may receive a notice that the room is no longer available or that the rate has changed, and you will not be charged or bound to an unavailable option.

Errors and Corrections: We work hard to ensure that information on our platform is accurate, but errors can occur – including typographical errors, incorrect prices, or other mistakes in the content. Stayker and the Travel Providers reserve the right to correct any pricing or availability errors and to cancel or modify bookings that stem from such errors. This policy applies even if a booking was initially confirmed. For example, if a hotel was mistakenly listed at a $10 rate (obviously below market price) due to a data error, the provider may cancel that reservation or offer you the option to rebook at the correct rate, and we will support that decision. If we or a provider need to cancel a booking due to an error, we will notify you as soon as possible, and you will receive a full refund of any amount charged (or will not be charged at all if payment was not yet processed). Beyond providing a refund or alternative booking (at your option), Stayker assumes no further liability for errors or cancellations, and will not be responsible for any additional costs such as airline change fees, inconvenience, emotional distress, etc., resulting from the error or cancellation. We apologize in advance for any inconvenience such errors may cause.

 

Booking Process and Fulfillment

Interface Role: When you decide to book a hotel through a Stayker-powered portal, your booking is actually processed by the relevant Travel Provider, not by Stayker itself. In practical terms, this means Stayker (or the Snap portal) is acting as a user interface or conduit that transmits your booking request to the Travel Provider’s reservation system. For some bookings, you may be briefly redirected to a secure booking page operated by a third-party partner (for example, an online travel agency that handles payment) – but in all cases, the intent is that the process is seamless to you. The party charging your credit card will typically be the Travel Provider or its authorized agent (and this will be indicated at the time of payment). Stayker is not the merchant of record for your travel purchase. We do not collect your payment and then pay the hotel; instead, your payment details are passed to the Travel Provider or processed by them directly, in accordance with their terms.

Payment and Confirmation: At the time of booking, you will be asked to provide typical reservation details (guest name, contact information) and payment details (such as a credit card). By providing payment information, you represent that you are authorized to use the payment method and you authorize the applicable Travel Provider or its agent to charge the full amount of the reservation (including any taxes and fees) to that payment method. In some cases, you may have options like “pay now” vs “pay at hotel”; regardless, the terms of payment (including cancellation refund eligibility) are determined by the provider and will be shown to you before you finalize the booking. Once your booking is completed, you should receive a confirmation email or page with a reservation confirmation number. This indicates that your booking contract is now directly with the Travel Provider.

Travel Provider Terms: As noted earlier, every booking is subject to the individual Travel Provider’s terms. This includes important details such as the cancellation policy, rules for modifications, check-in requirements, and refund processes. It is your responsibility to familiarize yourself with these terms at the time of booking. For example, a rate may be non-refundable (meaning if you cancel, you lose the payment), or cancellable with a penalty up until a certain date. These conditions are set by the provider, not by Stayker, but are typically displayed in the booking interface. By completing the reservation, you agree to those conditions. If you do not receive a confirmation email or have any issues, you should contact either the Travel Provider (e.g., the hotel or the agency) or Stayker support for assistance.

Booking Changes and Cancellations: If you need to change or cancel a reservation, you will need to follow the procedure given by the Travel Provider. Often, your confirmation email will contain instructions or a link to manage the booking. You may also contact Stayker at service@stayker.com or via our support channels for help – we can assist by connecting you with the provider or guiding you on next steps – but ultimate authority on changes/cancellations lies with the Travel Provider. For instance, if a hotel’s policy says a reservation can’t be cancelled within 48 hours of arrival, Stayker cannot override that policy. We will not be responsible for any fees or charges due to cancellation or no-show, as those are governed by the provider’s policy.

Support and Disputes: Stayker aims to support its users in having a smooth booking experience. If you encounter any issues with the booking process (e.g., error messages, no confirmation received, etc.) or with the stay itself (e.g., the hotel can’t find your reservation), you may reach out to Stayker’s support for assistance. We will make a good-faith effort to liaise with the Travel Provider to resolve the issue – for example, by verifying your booking in their system, or in cases of overbooking, helping to find alternative accommodations. However, please note that any remedy or compensation for problems with the travel service must come from the Travel Provider, not from Stayker. Stayker does not provide refunds or credits for travel issues because we are not the merchant; the Travel Provider is responsible for addressing those under their terms.

Limitation of Stayker’s Role: To summarize, when you book travel via Stayker: Stayker’s role is limited to facilitating that booking and providing customer service; we do not provide the actual accommodation service. Accordingly, Stayker has no liability for the fulfillment of your booking or the quality of your stay, except where a problem is directly caused by a breach of these Terms by Stayker or by our gross negligence. (For example, if our system were to charge you the wrong amount due to a Stayker coding error, we would take responsibility to fix that with the provider or refund the difference.) But if, say, the hotel has plumbing issues, or the room was double-booked, or any other issue arises from the Travel Product or provider’s actions, those are beyond Stayker’s control and not Stayker’s liability. By using the platform, you agree that your recourse for such issues is against the Travel Provider and not against Stayker.

Commission Rebates and Payouts

One of the unique features of Stayker (including the Snap platform and any similar future offerings) is a rebate program that allows Clients to earn revenue from bookings made through their portals. The following terms apply to this program and any user-linked commission or cash-back program offered by Stayker:

  • Eligibility and Overview: If you create and operate a Stayker booking portal (for example, via Snap or a custom integration) as a Client, you may be eligible to receive Rebates from Stayker. A Rebate is a form of revenue share – essentially, Stayker will share a percentage of the commission it receives from Travel Providers for bookings made through your Portal. This allows you to earn money (often used to support events, organizations, or as a revenue stream) when your users book hotels via your branded site. End Users (travelers) who book stays do not receive rebates; rather, the rebate goes to the Portal owner (Client). The specific commission percentage or structure may be provided to you in a separate schedule or in your dashboard. No separate IATA (travel agent) number or license is required on your part to earn these commissions – Stayker or its partners handle all travel agent requirements.

  • Earning Rebates (Actualized Bookings): Rebates are earned only on Actualized Bookings, meaning the guest must actually complete their stay at the hotel for the commission to be final. Bookings that are cancelled, no-showed, or refunded do not earn any Rebate. If a booking is partially cancelled or modified (e.g., shortened stay), the Rebate may be correspondingly reduced. The Rebate amount for each booking is typically calculated as a percentage of the net commissionable revenue of that booking. All Rebate amounts shown in your account (if provided) are estimates until they are confirmed by the Travel Provider’s payment to Stayker. Rebate estimates and records are subject to adjustment at any time. This is because the commissions that Travel Providers pay to Stayker can vary, and some bookings may yield no commission at all. For example, certain rates or hotel brands might be non-commissionable, or a provider might later inform us that a booking was not eligible for commission (in which case no Rebate is earned). Stayker does not guarantee that every booking will generate a Rebate. We will only pay Rebates on actual commission revenue we receive from bookings attributed to your Portal.

  • Reporting and Transparency: Stayker may provide Clients with a dashboard or reports showing bookings made through their Portal and the estimated “Rebates” or earnings accruing. These figures are for convenience and are not final until payouts are processed. If you have any questions or disputes about the calculated Rebate for any booking, please contact us. We will provide reasonable transparency to explain the calculation or any adjustments – including, if needed, information on how much commission Stayker actually received for a given booking – so that you understand your earnings. Our goal is to maintain trust and a clear understanding of the revenue share.

  • Payout Schedule and Minimum Threshold: Stayker will tally your earned Rebates on a monthly basis, based on Actualized Bookings that took place (guest checked out) in the prior month. We will generally issue a payout for each calendar month provided your earned amount meets or exceeds the Minimum Payout Threshold of $25 USD. If the amount owed to you for a month is less than $25, we may carry over (roll over) that balance to the following month. We will then issue a payout once the cumulative owed amount reaches at least $25. (For example, if you earned $15 in month 1 and $20 in month 2, we may pay out $35 after month 2, since the threshold was met in month 2.) This $25 threshold is simply to reduce administrative burden for very small amounts; it is not a fee. All payouts are made in U.S. Dollars (USD). If you operate outside the U.S., your bank or payment provider might convert the funds to your local currency at their exchange rate – any such conversion or fees are your responsibility.

  • Payout Methods: In order to receive payouts, you will need to provide us with valid payment information. Stayker’s default payout method is electronic – we may use an ACH/direct deposit to a U.S. bank account, an e-check or digital payment service, or services like PayPal or Venmo, depending on what you arrange with us. We may also issue a paper check for U.S. recipients if electronic options are unavailable, though this can incur mailing delays. You must provide accurate payee details (such as the name or entity to make payment to, a mailing address for checks, or email associated with a PayPal account) and update us if those details change. If a payment is returned or cannot be processed due to incorrect information provided by you, we will attempt to contact you for corrected info. Stayker is not responsible for payments sent to the wrong account if the information you provided was outdated or incorrect. In some cases, certain payment methods (like issuance of a paper check or e-check) may carry a small processing fee (for example, Lucid Travel charges a $1 fee for e-check issuance) – if applicable, we will deduct such a fee from your payout. We aim to process eligible monthly payouts promptly – typically within 10 business days after the end of the month – but do not guarantee a specific payout date. There may be additional delays for new accounts or large amounts, as we may verify certain details for security.

  • Taxes and Documentation: It is your responsibility to report and pay any taxes (e.g., income tax) that may be owed on the Rebates paid to you. Stayker may be required by law to collect tax information from you (such as a W-9 form for U.S. persons or W-8 for non-U.S. persons) and to issue IRS Form 1099 or other tax forms reporting the amounts paid, if your earnings exceed certain thresholds in a calendar year. You agree to provide any such necessary information to Stayker upon request. If you fail to provide required tax information, we may withhold payments or be required to withhold a portion of payouts for tax purposes.

  • Expiration of Rebates: Unclaimed or deferred Rebates will not be held indefinitely. Rebate balances expire one (1) year from the checkout date of the reservation if not redeemed (paid out). In practice, this means if a booking was completed and earned a commission on January 1, 2025, the rebate from that booking should be paid out by January 1, 2026. If it hasn’t been because you never reached $25 or you haven’t provided payout information, then after that date Stayker may void that earned amount. We implement this policy to avoid carrying liabilities for long periods. However, we will make reasonable attempts to contact you (using the email on file) before any significant earned funds are forfeited. To ensure you don’t lose any earnings, be sure to keep your contact and payment information up to date, and request payout or reach the threshold within the stated time. In special cases, at our discretion, we may choose to pay out an amount below the minimum threshold or after the expiration period, but this is not guaranteed.

  • Program Changes: Stayker reserves the right to modify or terminate the rebate/revenue-sharing program at any time. This could include changing the commission percentage split, altering the Minimum Payout Threshold, or ending the program entirely. We will provide notice to participating Users of any material changes to the program. No change will apply retroactively to reduce your right to any already-accrued Rebate; however, future bookings after the effective date of change may be subject to new terms. If the program is terminated, Stayker will generally pay out any remaining accrued Rebates (even if below $25) to users, provided the amounts are valid and the user can be contacted, except in cases of fraud or violation of Terms.

  • Fraud and Abuse: As mentioned under Acceptable Use, any fraudulent activity or abuse of the booking system to generate commissions is prohibited. If Stayker suspects that bookings were made in bad faith (for example, fictitious bookings, or encouraging users to book then cancel just to inflate numbers), we reserve the right to investigate and withhold or cancel corresponding Rebates. We may also deduct previously paid Rebates if an investigation later finds they were obtained through fraudulent or illegitimate means. Our goal is to reward genuine bookings that provide value to travelers and hotels; misuse will not be rewarded.

  • Relationship to Fundraising: (Note: Stayker’s rebate program may sometimes be used by Clients as a fundraising mechanism for teams, schools, etc., by funneling earned payouts to a cause. However, these Terms do not specifically cover organized fundraising campaigns, and Stayker is not directly involved in any fundraising representations. If you advertise your Portal as a fundraiser (e.g., “book through us and a portion goes to our club”), you are solely responsible for ensuring compliance with any fundraising laws and for using the funds as promised. Stayker only deals with the account holder and pays out to the account holder, and is not responsible for how you allocate those funds internally.)

By participating in the Rebate program, you acknowledge and agree to the above conditions. This section of Terms is meant to provide “fallback language” that covers Snap and any future Stayker products offering user-linked rebates – meaning, unless specifically modified for a new service, these general payout conditions will apply to any scenario where Stayker shares revenue with users.

Intellectual Property and License

Stayker’s Intellectual Property: The Stayker platform (including all software, code, databases, user interfaces, website design, look and feel, and compilation of content), as well as all content provided by Stayker (such as text, logos, graphics, and images created or owned by us), and the “Stayker” and “Snap” names and logos, are the property of Stayker (WPF Holdings LLC) or its licensors. These are protected by copyright, trademark, trade secret, and other intellectual property laws. All rights are reserved by the Company. Nothing in these Terms transfers any ownership of our intellectual property to you. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services and access the content for its intended purpose – i.e., to create and manage a booking portal (if you are a Client) and/or to search for and book travel (if you are an End User). You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, or transmit any part of the Services or content except as allowed by us or by law. For example, as a Client, you are allowed to incorporate our provided widgets or use our interfaces on your site as needed to operate your booking portal, and you may use Stayker’s name/logos for the purpose of attributing the technology or for reasonable promotional explanations (e.g., “Powered by Stayker”). However, you may not remove or alter any copyright, trademark, or proprietary notices on the platform. If you print, copy, or download any content (allowed for personal use or record-keeping), you must keep any proprietary notices intact.

Client Content and Branding: As a Client, you may upload or provide certain content to Stayker for use in your Portal – for instance, your organization’s name, logo, event details, descriptions, or images to personalize your site. You retain ownership of any intellectual property rights you have in that content. By providing such content, you grant Stayker a worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute your content as needed to deliver the Services. For example, we may display your logo on your portal pages and maybe in our marketing as an example of portals (unless you request we don’t). You represent and warrant that you have all necessary rights to any content you provide and that our use of it as permitted will not infringe or violate any third-party rights. Stayker has no responsibility or liability for Client-provided content; you are responsible for ensuring it’s accurate, lawful, and up-to-date. We do reserve the right to remove or disable access to any content that we believe violates these Terms or law (for example, if a logo or image was found to be infringing someone’s copyright or trademark).

Feedback: If you submit suggestions, ideas, enhancement requests, or other feedback about Stayker or Snap (“Feedback”), we appreciate it! Please note that providing Feedback is entirely voluntary, and we are free to use, disclose, and otherwise exploit your Feedback without any restriction or compensation to you. Feedback helps us improve, and by providing it, you agree that we can incorporate your ideas into our services or documentation.

Third-Party IP: Some content on the platform is owned by third parties – for example, hotel names and logos, or possibly map data, etc. Use of third-party names or marks on our site is not an assertion of ownership by Stayker, and is generally only for reference (e.g., listing a hotel’s brand for identification). All such third-party property remains owned by the respective third party. You must not remove or obscure any indications of such ownership. Additionally, our platform may be built on or use third-party software libraries or APIs (such as mapping APIs). Your use of those aspects of the Services may be subject to additional terms of the third-party providers (we will inform you where relevant – e.g., using the map might bind you to Google Maps/Apple Maps terms). By agreeing to these Terms, you also agree to abide by any relevant third-party terms when accessing their content through our Services.

Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy (available on our website) describes how we collect, use, store, and disclose personal information. By using Stayker, you agree to the practices described in our Privacy Policy. Key points include:

  • Personal Data Use: We will collect personal information such as names, contact details, and payment information when necessary to facilitate bookings or account creation. This information may be shared with Travel Providers strictly for the purpose of completing bookings (for example, providing the guest name and email to the hotel or booking partner). We do not sell personal data to third parties. We implement security measures to protect your data, though no system can guarantee absolute security.

  • U.S. and International Compliance: Stayker is based in the United States and primarily operates under U.S. law. If you are using the Services from outside the U.S., be aware that your information will be transferred to and processed in the United States. We comply with applicable U.S. data privacy laws (such as the California Consumer Privacy Act where relevant). For users located in the European Union, United Kingdom, or other regions with data protection laws, we also strive to comply with the EU General Data Protection Regulation (GDPR) and similar regulations regarding the handling of personal data. This means we will obtain and process your personal data on valid legal bases (e.g., your consent or to fulfill a contract like a booking), and honor basic data subject rights such as access, correction, or deletion of your data upon request. If you are an EU user, using Stayker is an acknowledgement that your personal data will be transferred to the U.S.; we will take appropriate safeguards such as standard contractual clauses to protect cross-border data transfers, as needed.

  • Data from Clients: If you are a Client using Stayker to manage travel for others (e.g., team members or event attendees), you might input personal data of those individuals into our system (for example, adding an attendee list or sending invite emails). You are responsible for ensuring you have any necessary permissions or consents from those individuals to share their data with us. We will treat that data in accordance with our Privacy Policy and use it only to provide the Services (for instance, to send booking links or to track which attendees have booked).

  • Cookies and Tracking: Our website uses cookies and similar technologies to improve user experience (such as keeping you logged in, or tracking aggregate usage stats). Details can be found in our Privacy Policy. By using the site, you consent to our use of cookies as described in the policy.

  • Communications: By creating an account or initiating a booking, you consent to receive transactional communications from us (e.g., booking confirmations, important account notices). You may also opt-in to marketing communications; you can unsubscribe from those at any time. Even if you opt out of marketing, we may still send you service-related messages.

We take privacy seriously and will work to address your concerns.

 

Disclaimer of Warranties

“As-Is” Service: Stayker provides the Services (including the website, Snap platform, and all content and functionality) on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, regarding the Services. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We make no guarantee that the Services will meet your requirements or expectations, or that the results obtained from use of the Services will be accurate or reliable for your purposes.

In particular, while we aim for high availability, we do not warrant that the Services will be uninterrupted, timely, secure, or error-free. There may be occasional maintenance, outages, or technical issues beyond our control (such as internet disruptions or third-party system failures). We will try to minimize disruptions, but we cannot promise 100% uptime or immediate fixes for every problem.

No Warranty on Third-Party Offerings: Any content provided by third parties (such as Travel Provider information, user-contributed materials, or third-party links) is the responsibility of those parties, and Stayker makes no warranties regarding that content. We specifically disclaim any responsibility for information or services provided by Travel Providers, including availability of rooms, quality of accommodations, or accuracy of descriptions. You use third-party content at your own risk. Likewise, any tools or features in the platform that rely on third-party services (for example, map services, payment processors) are provided without warranties by us – we cannot vouch for their performance or availability, though we choose reputable providers.

No advice or information (whether oral or written) obtained from Stayker or through the Services shall create any warranty not expressly stated in these Terms. You understand that travel inherently carries some risks, and while we hope to facilitate great experiences, we are not responsible for things outside our control (like a hotel’s condition or an unforeseen event affecting your trip).

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, any implied warranties are limited to the minimum scope and duration permitted by law.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Stayker (WPF Holdings LLC), its affiliates, or any of their respective officers, directors, employees, agents, or partners, be liable to you or any third party for any indirect, incidental, special, consequential, or exemplary damages whatsoever arising out of or in connection with the use of (or inability to use) the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory. This includes, for example, any loss of profits, loss of revenue, loss of data, business interruption, or other intangible losses (even if we’ve been advised of the possibility of such damages).

Additionally, and without limiting the foregoing, Stayker’s liability for direct damages arising out of or relating to this agreement or your use of the Services shall be limited to the greater of: (a) the total amount of fees (if any) you have paid to Stayker for use of the Services in the twelve (12) months immediately prior to the event giving rise to the liability, or (b) US $100.00. (If, for example, you as a Client paid a subscription fee for premium features, that could factor in; if you paid $0 because you only use free features, then $100 is the cap.) This limitation applies collectively to all claims and all types of liabilities.

Specific Application to Travel Issues: You acknowledge that Stayker’s role is as described in these Terms – we are not providing the actual travel accommodations. Therefore, Stayker will not be liable for any damages arising from or related to the Travel Products or services you obtain through our platform, or any acts, errors, omissions, representations, warranties, breaches, or negligence of any Travel Provider or for any personal injuries, death, property damage, or other damages or expenses resulting therefrom. For example, if a hotel loses your reservation or if you incur costs because of a reservation issue or unsatisfactory stay, Stayker is not responsible for those costs or damages – those would be the responsibility of the Travel Provider (and potentially covered under their terms or insurance). Similarly, if a Travel Provider becomes unable to fulfill a booking (e.g., a hotel closes due to a hurricane or pandemic), any refunds or accommodations would come from the provider or possibly travel insurance, not from Stayker. We understand this may seem repetitive, but it’s important to clearly state that any travel-related liability lies with the provider of that travel service, not the intermediary platform.

Scope of Limitations: The above limitations of liability apply regardless of whether the damages arise from (i) breach of contract, (ii) breach of warranty, (iii) negligence or other tort, or (iv) any other cause of action, to the extent such exclusions and limitations are not prohibited by applicable law. Because some states or countries do not allow the exclusion or limitation of certain damages, parts of these limitations may not apply to you. However, our liability will be limited to the maximum extent permitted by law.

Release: To the extent permitted by law, you agree to release and discharge Stayker and its affiliates from any and all claims, losses, liability, or expenses (including attorneys’ fees) for damages or loss of any kind arising out of or relating to the Travel Products booked through the Services, or any acts or omissions of Travel Providers. If you are a California resident, you waive California Civil Code §1542 (which says a general release does not extend to claims the creditor does not know or suspect to exist in their favor at the time of executing the release) and any similar law. In plain terms, once you have, for example, received a refund from a provider or otherwise resolved an issue, you are agreeing not to hold Stayker accountable for any related unresolved claims.

Indemnification.

You agree to defend, indemnify, and hold harmless Stayker, its parent company (WPF Holdings LLC), affiliates, and their respective directors, officers, employees, and agents (the “Indemnified Parties”), from and against any and all claims, demands, lawsuits, investigations, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services or any content obtained through the Services; (b) your violation of these Terms or of any applicable law or regulation; (c) your infringement or violation of any rights of a third party, including intellectual property rights or privacy/publicity rights, through your use of the platform or any content you provide; or (d) any disputes between you and a Travel Provider or other third party (for example, any issue with a hotel stay, or any arrangement you make through the portal).

For example, if you are a Client and you upload images that you do not have rights to and a copyright owner sues, you must indemnify Stayker for any costs or damages. Or if you as a traveler sue Stayker for an issue that is actually the hotel’s fault (breaching the Terms where we said you must pursue the provider), and as a result a third party (like the hotel) brings a claim against us, you’d indemnify us for that as well.

Stayker reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defense of that claim). You agree not to settle any such matter without the prior written consent of Stayker. We will use reasonable efforts to notify you of any claim requiring indemnification upon becoming aware of it.

This indemnification obligation shall survive any termination of your account or use of the Services.

Dispute Resolution and Arbitration Agreement

Please read this section carefully. It affects your rights by requiring arbitration of disputes and waiver of certain rights, including the right to a jury trial and the right to participate in class proceedings.

Governing Law: These Terms and any dispute or claim arising out of or related to them (including any non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without giving effect to any conflict of law principles that would cause the laws of another jurisdiction to apply. Notwithstanding the foregoing, the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) will govern the interpretation and enforcement of the arbitration provisions in this section. If you access the Services from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. By using the Services, you agree that U.S. laws (as specified) will govern any such disputes.

Agreement to Arbitrate: You and Stayker agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the use of or inability to use the Services, or any aspect of the relationship between us (collectively, “Claims”), shall be resolved by binding arbitration on an individual basis, rather than in court. This includes Claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. The only exceptions are: (1) either party may assert Claims in small claims court if they qualify; and (2) either party may seek injunctive or equitable relief in a court of proper jurisdiction to protect their intellectual property rights (for example, Stayker may go to court to stop someone from misusing our trademarks or violating our license terms).

Arbitration Procedure: The arbitration will be administered by a reputable arbitration organization (such as the American Arbitration Association, “AAA”) under its rules applicable to consumer or commercial disputes (as appropriate) in effect at the time the arbitration is initiated. If AAA is used, the arbitration will be conducted under the Consumer Arbitration Rules or Commercial Arbitration Rules as appropriate, except as modified by these Terms. You can start an arbitration by submitting a request to the chosen arbitration provider. The arbitration will be conducted by a single neutral arbitrator. If the parties cannot agree on an arbitrator, the arbitration organization will appoint one. The location of the arbitration will be in or near Charlotte, North Carolina, USA, unless you and Stayker mutually agree on an alternative or the arbitrator decides to hold proceedings remotely or in another location for fairness (e.g., if traveling to NC would be unduly burdensome for you, the arbitrator might allow telephonic or video appearances). The arbitration will be conducted in English. Each party will have the opportunity to present evidence and arguments to the arbitrator. The arbitrator shall issue a written decision with the findings and conclusions upon which the award is based. The arbitrator’s decision will be final and binding on the parties, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You and Stayker agree that all Claims will be brought solely in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. Any relief awarded cannot affect other users. If a court or arbitrator decides that any part of this class action waiver is unenforceable or invalid, then the class-action waiver will be null and void as to that specific issue, and the proceeding may continue in court as a class or representative action (rather than in arbitration). However, in such event, the rest of the arbitration clause shall still apply.

Jury Trial Waiver: To the extent any Claim is found not subject to arbitration, for any reason, both you and Stayker knowingly and irrevocably waive any right to a jury trial. Instead, if not in arbitration, such Claims will be resolved by a judge.

Costs of Arbitration: Payment of all filing, administration, and arbitrator fees will be governed by the arbitration provider’s rules. We will abide by any requirement to pay fees or costs that the law requires us to pay for you (for example, some arbitration forums for consumer disputes provide that if the claim is under a certain dollar amount, the consumer pays only a small filing fee and the company pays the rest of the fees; we will honor such rules). If there is no such requirement, the arbitrator has the discretion to allocate the costs of arbitration between us as appropriate. Each party will bear their own attorneys’ fees and costs unless the arbitrator rules otherwise or applicable law provides otherwise (for instance, certain consumer protection laws allow recovery of attorneys’ fees for the prevailing party).

Opt-Out Right: We believe arbitration is beneficial for both sides (faster resolution, lower costs), but if you do not wish to agree to arbitration and class waiver, you have the right to opt out. You can opt out of this arbitration agreement by sending a written notice of your decision to opt out to the following address: Stayker – Arbitration Opt-Out, 615 S College St, Charlotte, NC 28202, USA (address fictional example) or via email to legal@stayker.com. The opt-out notice must be sent within 30 days of your first use of the Services or the Effective Date of these Terms (whichever is later); otherwise you will be bound to arbitrate disputes under these Terms. If you opt out of arbitration, the other parts of these Terms (including the class action waiver) remain in effect. Opting out of this arbitration agreement will not affect any other terms of this Agreement.

Severability of Arbitration Terms: If the arbitration provision is found unenforceable or inapplicable to you or a particular claim (except for the class action waiver which is addressed above), then that claim shall be resolved by a court of competent jurisdiction as provided in the next section. In such case, you and Stayker agree to waive, to the fullest extent allowed by law, any trial by jury.

This Dispute Resolution and Arbitration Agreement section shall survive any termination of these Terms or of your account.

Governing Law and Jurisdiction

As noted, North Carolina law governs these Terms (and U.S. federal law where applicable, such as the Federal Arbitration Act for arbitration). Subject to the arbitration clause above, you expressly consent to the personal jurisdiction of and venue in the state and federal courts located in Mecklenburg County, North Carolina for any lawsuit filed against you by Stayker arising from or related to these Terms or your use of the Services. You also agree that North Carolina is an appropriate and convenient forum for any such litigation, and you will not argue that it is an inconvenient forum. (If you opted out of arbitration or a claim is allowed to proceed in court, this is where it will happen unless otherwise required by law.)

If you are using the Services as a consumer in the European Union, you may also be protected by mandatory consumer protection provisions of your country of residence, which may allow you to bring claims in your local courts under certain conditions. However, this does not negate your agreement that North Carolina law governs the interpretation of these Terms to the extent not in conflict with such provisions.

Termination

By Stayker: We may, at our sole discretion, suspend or terminate your account or your access to all or part of the Services at any time and for any legitimate reason, with or without prior notice. This includes, without limitation, situations where: (a) you have violated or we suspect you have violated these Terms or any applicable law; (b) you have provided false or misleading information or we are unable to verify or authenticate any information you provide to us; (c) you are engaging in fraudulent or improper use of the platform (including abuse of the rebate program or fraudulent bookings); (d) we decide to discontinue the Services or a portion thereof (for example, if we shut down Snap or the entire platform); or (e) payment for any paid features is past due or cannot be processed. We will not be liable to you or any third party for termination of your account. If your account is terminated due to a breach of these Terms or misconduct, you will not be entitled to any compensation, and you may lose access to any data associated with your account (though we may allow you to retrieve certain data at our discretion, provided doing so does not violate any law or others’ rights). In some cases, we may also choose to terminate or suspend only certain features (e.g., disable your portal’s booking capabilities) while allowing you to access other parts (like retrieving reports), depending on the reason.

By You: You may terminate your account or stop using the Services at any time. If you are a Client and wish to deactivate your Portal, you can do so through your admin interface or by contacting us. Keep in mind that if you have upcoming bookings through your Portal, you should coordinate with us or ensure those bookings are handed off to the Travel Provider for servicing to avoid stranding any travelers. Also, if you are owed any Rebates that have not reached the threshold, you might forfeit those upon closing your account (unless you request a special payout and we agree). We recommend reaching out to discuss any final payout if you’re closing your account.

Effect of Termination: Upon any termination of your account, the rights and licenses granted to you under these Terms will cease immediately. You must stop using any of Stayker’s proprietary content and destroy any copies of our materials in your possession (except for records you’re legally entitled to keep, like invoices). If you had embedded our widgets or links on your site, please remove them to avoid broken links or confusion, as your portal will no longer be active. Sections of these Terms that by their nature should survive termination (such as provisions on intellectual property, rebate obligations accrued, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous provisions) shall continue to apply. Termination does not relieve either party from any obligations incurred or arising prior to the termination (for example, if a traveler made a booking through your Portal before termination, both parties still must honor any obligations related to that booking).

If we terminate the Services in entirety (i.e., shut down Stayker operations), we will make reasonable effort to notify active Clients in advance to allow you to prepare. In such case, any earned Rebates above a minimal amount will be paid out and all future bookings will be handled by the underlying Travel Provider or canceled with refunds as appropriate. We will communicate the process should that unlikely event occur.

Miscellaneous Provisions

Entire Agreement: These Terms (together with any supplemental policies or documents expressly incorporated by reference, including our Privacy Policy and any product-specific guidelines) constitute the entire agreement between you and Stayker concerning the Services, and supersede all prior and contemporaneous understandings, agreements, representations, or warranties, both written and oral, regarding the Services. In entering into these Terms, neither party has relied on any statement or representation not expressly set out herein. If you have signed a separate written agreement with Stayker covering use of the Services (for example, a customized enterprise contract), then that agreement may supersede or augment these Terms to the extent of any conflict.

Severability: If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. In other words, the invalid part will be severed, but the rest of the agreement remains binding. If a certain provision is deemed invalid in one jurisdiction but not in another, it shall be deemed modified as necessary to comply with laws of that jurisdiction, without affecting its validity elsewhere.

No Waiver: No waiver by Stayker of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of that term or any other term, and any failure of Stayker to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. For example, if you violate one of these Terms and we don’t take immediate action, that does not mean we are waiving our rights to enforce the Term in the future or in any other situation.

Assignment: Stayker may assign or transfer its rights and obligations under these Terms (in whole or in part) to an affiliate, or to a successor in interest (for example, if we are involved in a merger, acquisition, corporate reorganization, or sale of assets, your agreement with us and your information may be transferred to the new owner as part of that deal). We will ensure any successor honors the Terms or provides notice of changes. You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. Any attempted assignment by you in violation of this provision is null and void. These Terms will inure to the benefit of and be binding upon each party’s permitted successors and assigns.

No Third-Party Beneficiaries: These Terms are for the benefit of you and Stayker (and our affiliates, where applicable). Except as expressly provided, they are not intended to confer any rights or remedies on any other persons or entities. This means that, for example, even though our Travel Providers have their own agreements with you, they are not governed by or given rights under these Terms (nor are we assuming obligations on their behalf beyond what’s stated).

Force Majeure: Stayker will not be liable for any failure or delay in performance of its obligations (other than payment obligations, if any) under these Terms if that failure or delay is due to causes beyond its reasonable control, such as acts of God, natural disasters, war, terrorism, civil disturbances, labor strikes, fires, epidemics/pandemics, power or internet outages, or the actions of third-party service providers or governments. We will make reasonable efforts to mitigate the effects of any such force majeure event and resume full performance as soon as practicable.

Notices: We may provide notices or communications to you by email to the address associated with your account, by posting on our website, or through the user interface (such as notifications in your dashboard). You agree that such electronic notices satisfy any legal requirement that communications be in writing. If you need to give formal notice to us, (such as a legal notice of a dispute, or to opt out of arbitration, etc.), you must do so in writing via certified mail or overnight courier to: Stayker (WPF Holdings LLC), Attn: Legal Department, 3540 Toringdon Way, Suite 200-2052, Charlotte, NC 28277, USA (fictional address example), or via email to legal@stayker.com. If via email, your notice will be deemed given only upon our affirmative acknowledgment of receipt (an automated response doesn’t count). Relationship of Parties: You and Stayker are independent contracting parties. Nothing in these Terms shall constitute either party as employer, employee, agent or representative of the other, nor create a partnership, franchise, or joint venture between the parties. You do not have any authority to bind Stayker in any way (and vice versa). Each party will be solely responsible for paying its own employees, including employment related taxes and insurance.

Headings and Interpretation: The section titles and headings in these Terms are for convenience only and have no legal or contractual effect. When we say "including" in these Terms, we mean "including without limitation." The words “or” shall be interpreted in the inclusive sense commonly known as “and/or.” Any ambiguities in these Terms shall not be construed against the drafter (since both parties have had opportunity to review them – and indeed you can contact us with questions if anything is unclear).

Complaints and Inquiries: We strive to maintain a high-standard service. If you have a complaint regarding the Services or believe we are not meeting our obligations, we encourage you to contact us at service@stayker.com so we can attempt to resolve the issue amicably. For users in certain jurisdictions, you may have the right to report complaints to consumer protection authorities; we hope to address your concerns before it comes to that.

By using Stayker and/or Snap, you acknowledge that you have read and understood these Terms of Service, and agree to be bound by them.
